Introduction
These Terms & Conditions (“Terms”) govern all purchases of goods and services from NorthTech Pty Ltd ABN [insert] (“NorthTech”, “we”, “our”, “us”). By placing an order through our website, email, phone, quote or in-person, you (“Customer”, “you”, “your”) agree to be bound by these Terms.

Quotations and Acceptance

Retention of Title and Risk

4.2. Until title passes:
- You hold the goods as bailee for NorthTech.
- You must store and identify the goods so they remain clearly ours.
4.3. Risk: Risk in goods passes to you upon delivery.
Note: To protect our interest under Australian law, retention of title clauses may be treated as a security interest under the Personal Property Securities Act 2009 (PPSA). You agree that NorthTech may register its interest on the Personal Property Securities Register (PPSR).
5.
Delivery & Installation
5.1. Delivery dates are estimates only, and we are not liable for delays beyond our control.
5.2. You must provide access and facilities required for installation. Additional charges may apply for failed access attempts.
6.
Australian Consumer Law (ACL)
6.1. Our goods and services come with guarantees under the Australian Consumer Law that cannot be excluded (“Consumer Guarantees”).
6.2. If a product fails to meet a Consumer Guarantee, you are entitled to a remedy (repair, replacement, refund) as required by law.
6.3. Nothing in these Terms limits your rights under the ACL.

Warranty
7.1. We may offer additional warranties on products or services; details (if any) will be provided separately.
7.2. To make a warranty claim, you must present proof of purchase and comply with instructions we provide.
8.
Returns and Refunds
8.1. Unless otherwise required by law, returns of goods not supplied incorrectly must be agreed in writing and may incur restocking fees.
8.2. Custom-made items or special orders are non-returnable unless defective.

Intellectual Property
9.1. All intellectual property (including trademarks, website content and designs) remains the property of NorthTech or its licensors.

Limitation of Liability
To the maximum extent permitted by law, our liability is limited to the repair or replacement of goods, or a refund of the purchase price. We are not liable for indirect or consequential loss.
